Terms & Conditions

These Terms & Conditions apply to the commercial supply of products and services by Palmer-Hunter Ltd, including environmental sensing hardware, deployment packages, subscriptions, training, onboarding and related Palmer-Hunter services.

These terms are primarily intended for organisations and business customers procuring Palmer-Hunter products and services. Additional or different terms may be set out in a quotation, order document, statement of work or other written agreement. Where expressly agreed, those specific terms will apply to the relevant supply.

1. About Palmer-Hunter

Palmer-Hunter Ltd develops and supplies environmental intelligence, embedded sensing technologies, software and related services.

2. Quotations and procurement requests

Information displayed in the Palmer-Hunter Store, deployment configurators or procurement tools may provide indicative configuration and commercial information. Unless expressly identified as a binding offer, such information does not by itself create a contract.

A procurement request allows a customer to submit its proposed deployment requirements to Palmer-Hunter. Palmer-Hunter may review requirements, hardware availability, deployment scope, delivery requirements and other commercial or technical factors before issuing or confirming a quotation.

Quotations may specify products, quantities, subscriptions, training, services, prices, taxes, delivery assumptions, validity periods and other terms applicable to the proposed supply.

3. Formation of a contract

A contract is formed when Palmer-Hunter accepts the customer's order or quotation acceptance, or otherwise confirms in writing that the relevant order has been accepted.

Receipt of a procurement request, payment instruction or other automated acknowledgement does not necessarily constitute acceptance of an order where Palmer-Hunter still needs to confirm availability, technical suitability, commercial terms or other deployment requirements.

4. Prices and VAT

Prices are those stated in the applicable quotation, order or commercial confirmation. Unless stated otherwise, prices may be exclusive of VAT and any other applicable taxes, duties, delivery charges or agreed expenses.

Where VAT is applicable, it will be charged at the appropriate rate and identified in the relevant commercial documentation or transaction information.

5. Payment

Palmer-Hunter may offer one or more payment methods depending on the customer, order and commercial arrangement. These may include online card payment through an authorised payment provider, invoice, bank transfer or purchase-order-based procurement where approved.

Where online card payment is offered, payment may be processed by Worldpay or another authorised payment provider. Payment providers may apply their own security, verification and processing requirements.

The customer must pay all amounts due in accordance with the payment terms stated in the relevant quotation, invoice, order or other commercial agreement.

Palmer-Hunter may withhold activation, dispatch, deployment or continued supply where payment is overdue, declined, reversed or otherwise not received in accordance with the agreed terms.

6. Hardware availability

Hardware availability may depend on manufacturing, component availability, supplier lead times, configuration requirements and other supply-chain factors. Palmer-Hunter will use reasonable efforts to communicate material availability issues affecting an accepted order.

Where reasonably necessary, Palmer-Hunter may propose an equivalent or updated component or configuration. A material substitution affecting the agreed purpose, price or deployment will be discussed with the customer before supply.

7. Delivery and fulfilment

Delivery, deployment and onboarding arrangements will depend on the products and services ordered. Any delivery or deployment date provided before confirmation is an estimate unless Palmer-Hunter expressly agrees in writing that a date is fixed.

Palmer-Hunter is not responsible for delay caused by incomplete customer information, unavailable site access, customer dependencies, carrier disruption, supplier delay or other circumstances outside Palmer-Hunter's reasonable control.

Customers must provide accurate delivery and contact information and make reasonable arrangements to receive equipment or enable agreed deployment activities.

8. Risk and ownership of hardware

Unless different terms are stated in the applicable quotation or agreement, risk of loss or damage to purchased hardware passes to the customer on delivery.

Ownership of purchased hardware passes to the customer when Palmer-Hunter has received full payment for that hardware. Hardware supplied on a loan, trial, evaluation, rental or other non-sale basis remains the property of Palmer-Hunter unless expressly agreed otherwise in writing.

Ownership of physical hardware does not transfer ownership of Palmer-Hunter software, firmware, algorithms, models, Environmental Intelligence technology or other intellectual property embedded in or used with that hardware.

9. Installation, deployment and customer responsibilities

The customer is responsible for providing accurate information about its intended deployment and for ensuring that sites, facilities, networks, power sources, permissions and other customer-controlled dependencies are suitable for the agreed products and services.

Customers must use equipment and services in accordance with Palmer-Hunter instructions and any applicable safety, environmental, site, regulatory or operational requirements.

Palmer-Hunter is not responsible for faults or performance issues caused by unauthorised modification, misuse, unsuitable installation, customer-controlled infrastructure, abnormal operating conditions or use outside documented or agreed parameters.

10. Subscriptions and service periods

Where an order includes a subscription, platform entitlement, support service, monitoring service or other recurring service, the applicable service period, price and renewal arrangement will be stated in the relevant quotation, order, subscription information or written agreement.

A subscription does not automatically include hardware, installation, training or other services unless those items are expressly included in the relevant commercial arrangement.

11. Cancellation before fulfilment

A customer wishing to cancel an accepted order should contact Palmer-Hunter as soon as possible. Cancellation is subject to the applicable quotation, order and the stage reached in fulfilment.

Palmer-Hunter may agree to cancellation before hardware has been ordered, configured, manufactured, allocated or dispatched and before material deployment or service work has begun.

Where Palmer-Hunter has already incurred reasonable and non-recoverable costs, committed third-party expenditure, configured or prepared hardware, or commenced agreed work, those costs may be deducted from any amount otherwise refundable or may remain payable by the customer, to the extent permitted by law and the applicable agreement.

12. Returns, faults and refunds

Customers should notify Palmer-Hunter promptly if supplied hardware is damaged on arrival, materially defective or does not correspond with the accepted order.

Palmer-Hunter may investigate reported faults and may, as appropriate in the circumstances, repair or replace affected hardware, correct the relevant service, provide a credit or issue a refund.

Returns must be agreed with Palmer-Hunter before equipment is returned. Palmer-Hunter may provide return instructions or require reasonable diagnostic information before authorising a return.

Refunds are not automatically available merely because a business customer changes its mind after Palmer-Hunter has accepted an order, particularly where hardware or services have been configured, procured, prepared or supplied for the customer.

Nothing in these Terms & Conditions excludes any refund, repair, replacement or other right that cannot lawfully be excluded.

13. Subscription cancellation

Cancellation of a subscription or recurring service is governed by the service period, notice requirements and renewal terms stated in the applicable quotation, order or subscription arrangement.

Unless otherwise agreed, cancelling access does not remove amounts already due or charges properly incurred before the effective cancellation date.

14. Palmer-Hunter services and Environmental Intelligence

Palmer-Hunter products and services may provide sensing, telemetry, analytics, classifications, estimates, interpretations, predictions, alerts and other Environmental Intelligence outputs.

Such outputs are intended to support environmental monitoring, analysis and decision-making and do not constitute an unconditional guarantee of environmental conditions, future events or outcomes.

Unless expressly agreed otherwise in writing, Palmer-Hunter technology is not a substitute for professional advice, statutory inspection, regulatory certification or independently required safety systems.

15. Intellectual property

Palmer-Hunter and its licensors retain all rights, title and interest in Palmer-Hunter software, firmware, algorithms, models, methodologies, system architecture, Environmental Intelligence processes, documentation, designs, trademarks and other proprietary technology and materials.

Customers retain their rights in information they lawfully provide to Palmer-Hunter, subject to the rights reasonably necessary for Palmer-Hunter to provide, operate, secure and support the contracted products and services.

Further provisions relating to use of the PML Platform and Palmer-Hunter digital services are set out in the Palmer-Hunter Terms of Service.

16. Confidential information

Each party should protect confidential information received from the other and use it only for the purposes of the relevant commercial relationship, except where disclosure is authorised, already lawfully public or required by law.

17. Warranties and service standards

Palmer-Hunter will provide products and services with reasonable care and skill and will use reasonable efforts to ensure supplied products materially correspond with the applicable agreed specification.

Specific warranties, service levels, support arrangements or acceptance criteria may be stated in the applicable quotation, order, statement of work or other written agreement.

18. Liability

Nothing in these Terms & Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above and unless different terms are expressly agreed in writing, Palmer-Hunter will not be liable for indirect or consequential loss, loss of anticipated profit, loss of business opportunity or loss arising from a customer's use of products or services outside their agreed or documented purpose.

Any specific financial liability cap applicable to a commercial engagement may be stated in the relevant quotation, order, statement of work or other written agreement.

19. Force majeure

Neither party will be responsible for delay or failure to perform an obligation, other than an obligation to pay amounts already due, where the delay or failure results from circumstances beyond that party's reasonable control.

Such circumstances may include significant supplier or component disruption, transport interruption, utility or communications failure, natural events, government action, industrial disputes or other events that could not reasonably have been prevented.

20. Termination

Either party may have termination rights under the applicable quotation, subscription or written agreement. Palmer-Hunter may suspend or terminate supply where reasonably necessary following material breach, persistent non-payment, unlawful use or a material security risk, subject to applicable contractual and legal requirements.

Termination does not affect rights, liabilities or payment obligations that accrued before termination or provisions intended to continue afterwards.

21. Data protection

Personal information is handled in accordance with the Palmer-Hunter Privacy Policy and applicable data protection law. Additional data-processing terms may apply where Palmer-Hunter processes personal information on behalf of a customer organisation.

22. Changes to these terms

Palmer-Hunter may update these Terms & Conditions to reflect changes to products, services, commercial processes, law or regulation. Changes will not retrospectively alter an existing agreed order where doing so would conflict with the applicable contract unless the parties agree otherwise or a change is required by law.

23. Governing law and jurisdiction

These Terms & Conditions and contracts governed by them are subject to the laws of England and Wales. Unless otherwise required by applicable law or agreed in writing, the courts of England and Wales will have jurisdiction over disputes arising from them.
